Job Description

The Consultancy Group are currently recruiting a Mergers & Acquisition Integration Consultant to work for a Private Equity backed Technology business in central London. As M&A Consultant, you will work alongside the CFO, CEO and PE stakeholder, to support the business in the Due Diligence, acquisition and subsequent integration of the Target Company into the group. The individual will lead the day to day due diligence process managing key internal and external relationships, provide key insights, commercial analysis and recommendations for both the transaction itself and any subsequent integration of the target Company.

Key Responsibilities:

  • Partner with CFO, corporate finance advisors and lenders
  • Provide the financial due diligence and and tax due diligence reports ensuring all key items are clearly documented and understood by the senior management team
  • Manage dialogue between tax structuring and legal teams to ensure all items satisfactorily incorporated into legal drafting and aligned with interests of shareholders
  • Work with senior management on formulating, articulating and implementing the integration plan. For example;
    • Assessment of overall financial structure with recommendations
    • Overview of financial reporting process
    • Assessment of tax, treasury, employee benefits and payroll processes within target
    • Assessment of insurance in target alongside broker and gaps that may need filling
    • Assessment of any legal and company secretarial issues that may arise

Requirements

  • ACA Qualified accountant with a minimum of 10 years post qualification experience
  • Significant transaction and integration experience with SME's preferably in the communications or professional services sectors and preferably in a PE backed environment
